Converting MIDI to anything won't do a lot; it'll still be exactly the same. Converting anything to MIDI will significantly reduce the quality of the music.

If you need a MIDI of an MP3, then I would suggest looking for it on Google or something.

http://www.modplug.com

Has a tracker which can import MIDI files. It also has something where you can convert tracker files like .MOD and .IT files to MP3.
